The M&A environment in the United Kingdom is about to change. On 4 January 2022, the long-awaited National Security and Investment Act 2021 (NS&I) comes into force. The Act creates a new UK investment screening regime, comparable to CFIUS in the US, enabling national security reviews of transactions in 17 strategic sectors. The Act also gives Government the power to call in any deal in any sector, if ministers believe that it may give rise to national security concerns.


NS&I is not the only change for investors to consider; already, the UK’s anti-trust regulator, the Competition and Markets Authority (CMA), has grown in scale and ambition since Brexit, and, since the pandemic struck, the UK government has introduced a new public interest test designed to protect the UK from another health emergency.

In an era of geopolitical tensions, rapid technological development, and economic and supply chain pressures, it has never been more important to understand the national security and merger control infrastructure and how best to navigate it.
